Referral Program Terms

1. Participation

Participation requires an approved application. Boreo reviews every application manually and may decline or revoke participation at its discretion, including where promotion methods would damage the Boreo brand.

You participate as an independent party. Nothing here creates an employment, agency, partnership or joint-venture relationship, and you may not present yourself as a Boreo employee or make commitments on Boreo's behalf.

2. Partner types and rates

Your commission rate depends on the partner type your application is approved under. Boreo may reassign an application to the partner type that matches how you actually promote Boreo.

• Creators: 20% of amounts paid, for 12 months per referred customer
• Sponsored Creators (Boreo pays you a fee for the content): 10%, for 12 months
• Agencies and Freelancers: 15%, for 12 months, rising automatically to 20% for customers referred after your referred customers pass $2,500 in combined monthly revenue
• Directory Partners: 10%, for 12 months, for organic listing and review traffic
• Boreo Customers: 15% paid as Boreo account credit, switching to 20% paid in cash for customers referred after your fifth paying referral
• Partners approved under the earlier flat program keep 20% for 24 months on the customers they refer

Rate changes are announced at least 30 days in advance and apply only to customers referred after the change takes effect. Rates and duration in force when a customer is first referred apply for that customer's full commission window.

3. How commission is calculated

• A referral is attributed on a last-click basis: the most recent referral link or promo code used within the 30 days before signup receives the credit
• Link tracking depends on the visitor's browser accepting a first-party cookie; a promo code entered at checkout tracks the same way
• Commission is calculated on net amounts received, excluding VAT, taxes, payment provider fees and any discount applied to the payment, including the referral discount on the first month
• Commission accrues only while the referred customer keeps paying, and stops when they cancel
• Commission on mid-cycle upgrades applies starting at the next billing cycle at the new plan rate. Pro-rated upgrade charges within the current billing cycle do not generate additional commission.
• Credit pack purchases, custom Enterprise agreements and internal or discounted accounts do not earn commission unless separately agreed in writing

4. Conversion bonus

Where the program offers a conversion bonus, it is paid once per referred customer, only for your first five paying referrals, and only after that customer's first payment clears the hold period.

5. Holds and payouts

• Your first payout is held for 60 days after the referred payment, to cover refunds and chargebacks
• Cleared balances are paid monthly on Net-30 terms, provided the balance is at least $50
• Balances below the minimum roll over to the next month
• Payouts are made in USD through our payment provider. You are responsible for supplying accurate payout and tax details
• Boreo Customers on the account-credit rate receive their earnings as Boreo credit instead of a cash transfer, until they qualify for the cash rate
• You are solely responsible for declaring and paying any income, VAT or other taxes on your earnings

6. Refunds, chargebacks and reversals

Commission on a payment that is later refunded, disputed or charged back is reversed while it is still unpaid. Amounts already paid out are not reclaimed, except where fraud or a breach of these terms is established.

7. Promotion rules

You may promote Boreo honestly to your own audience. The following are prohibited and may result in withheld earnings and termination:

• Self-referrals, referrals of accounts you control, duplicate accounts and any other artificial conversions
• Bidding on Boreo brand terms in paid search, or running ads that impersonate Boreo
• Coupon, cashback, deal-aggregator and incentivised-traffic placements
• Unsolicited bulk email, comment spam, automated messaging and any other unsolicited contact
• Claims about Boreo's performance, pricing or features that are false, misleading or unverifiable
• Using the Boreo name, logo or assets outside the materials Boreo supplies, or registering domains, handles or app names containing 'Boreo'
• Omitting a referral or affiliate disclosure where the platform or applicable law requires one

8. Fraud review

Boreo monitors referral activity and may hold or cancel earnings while a referral is investigated. Where fraud or a breach of these terms is established, Boreo may cancel all unpaid earnings, reclaim paid amounts and terminate participation immediately.

9. Termination

Either party may end participation at any time with written notice. On termination without breach, cleared earnings are paid on the next scheduled payout run and no further commission accrues. Boreo may also suspend or close the program as a whole with 30 days' notice.

10. Governing law

These terms are governed by Dutch law, and disputes are subject to the exclusive jurisdiction of the competent courts in the Netherlands.
